1. Acceptance of Terms

By accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and HubVideo.

3. Intellectual Property Rights

4. User-Generated Content

The Service may allow you to post, upload, submit, or otherwise transmit content, including but not limited to text, images, video, audio, and other materials (“User Content”). By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the operation and provision of the Service.

You represent and warrant that you own or control all rights in and to your User Content and that your User Content does not and will not violate any applicable law or infringe upon the rights of any third party, including but not limited to copyright, trademark, privacy, publicity, or other personal or proprietary rights.

We have the right, but not the obligation, to monitor, review, edit, or remove any User Content at our sole discretion and without prior notice to you. We assume no responsibility or liability for any User Content posted by you or any other user of the Service.

• Contains any content that is illegal under applicable law or regulation.
• Contains material that exploits children in any way, or shares or promotes content that exploits minors.

We reserve the right to remove any content that we determine, in our sole discretion, violates these Content Guidelines or is otherwise harmful to the Service, its users, or third parties. Repeated violations may result in account suspension or termination.

6. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall HubVideo, its affiliates, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• Any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive, or illegal conduct or content.
• Any content obtained from the Service, or any products or services obtained or not obtained as a result of transactions entered into through or from the Service.

In no event shall our total aggregate liability to you for all claims arising out of or relating to the use of the Service exceed the amount of one hundred US dollars ($100.00) or the amount you paid to us in the twelve (12) months preceding the event giving rise to the liability, whichever is greater.

7. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without any warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

We do not warrant that:

8. Indemnification

You agree to defend, indemnify, and hold harmless HubVideo, its parent company, affiliates, and each of their respective officers, directors, members, employees, agents, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and related costs and expenses) arising out of or in connection with:

• Your use of or inability to use the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any rights of a third party, including but not limited to intellectual property rights, privacy rights, or proprietary rights.
• Any User Content you submit, post, or transmit through the Service.
• Any negligent or willful misconduct by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

9. Termination

Upon termination:

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the applicable jurisdiction.

You agree that any legal action or proceeding between you and HubVideo arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of the applicable jurisdiction, and you consent to the personal jurisdiction and venue of such courts.

You hereby waive any and all defenses based on lack of personal jurisdiction, improper venue, or forum non conveniens in any such action or proceeding. Any claim or cause of action arising out of or related to your use of the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

11. Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time and at our sole discretion. When we make changes to these Terms, we will:
